Terms of Service

These terms govern your use of CloudAIPilot, a product of Vibhaga Group. Please read them carefully before creating an account or using the platform.

Plain language summary: You're using a professional cloud infrastructure management platform. You own your data and your servers. We provide the tooling. You're responsible for the instructions you give the AI. We are not liable for consequential losses to your infrastructure. Disputes are governed by Indian law and resolved in Hyderabad courts.

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Vibhaga Group, a business entity with its principal office at Desk ID HD-525, WeWork Krishe Emerald, Kondapur Main Road, Laxmi Cyber City, Kondapur, Telangana 500081, India ("we," "us," "our," or "CloudAIPilot"), governing your access to and use of the CloudAIPilot platform, website, APIs, and all associated services (collectively, the "Service").

By creating an account, clicking "I Agree," accessing the Service, or otherwise using any part of CloudAIPilot, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. This agreement is executed electronically and is valid and enforceable under the Information Technology Act, 2000 and the Indian Contract Act, 1872.

If you are accepting these Terms on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and references to "you" include that organization.

If you do not agree to these Terms, you must not use the Service.

2. About CloudAIPilot

CloudAIPilot is an AI-powered cloud infrastructure management platform that enables users to provision, monitor, deploy to, and manage servers and cloud resources across multiple cloud providers, using both manual controls and AI-driven automation ("AI Pilot"). The Service includes, without limitation:

  • Server provisioning, management, and monitoring across supported cloud providers
  • Website and application deployment via Git-connected pipelines
  • AI Pilot — a conversational AI agent that can perform infrastructure actions on your behalf
  • FinOps cost visibility and optimization tools
  • Backup scheduling and management
  • Role-based access control (RBAC) and team management
  • Docker application management
  • Cloud storage management
  • Notification and alerting integrations

The Service is subject to change, and we may add, modify, or discontinue features with or without notice, subject to the obligations set out in Section 16.

3. Accounts and Eligibility

3.1 Eligibility

You must be at least 18 years of age and capable of entering into a legally binding contract under Indian law to use the Service. By using the Service, you represent that you meet these requirements. Use of the Service is prohibited in jurisdictions where it is unlawful.

3.2 Account Registration

You must provide accurate, complete, and current information when creating an account, including a valid email address and, where applicable, accurate billing information. You agree to keep this information up to date.

3.3 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately at support@cloudaipilot.com if you suspect unauthorized access. We are not liable for any loss resulting from unauthorized use of your account that is not caused by our negligence.

3.4 One Account Per Person

Each natural person may maintain only one individual account. Organizations may have multiple user accounts under a single organization, governed by the RBAC and team management features. Creating accounts to circumvent plan limits or abuse free trial credits is prohibited.

4. Subscriptions and Billing

4.1 Subscription Plans

CloudAIPilot offers multiple subscription tiers, including a free tier and paid plans, each with defined feature entitlements as described on our Pricing page. By subscribing to a paid plan, you agree to pay the applicable fees.

4.2 Billing and Payment

Paid subscriptions are billed in advance on a monthly or annual cycle, depending on your selection. All fees are exclusive of applicable taxes (including GST), which will be added where required by law. Payment is processed by our third-party payment processor (Stripe). By providing payment details, you authorize us to charge the applicable fees to your payment method on the billing date.

4.3 Cloud Wallet and Metered Usage

Certain features — including AI Pilot token consumption, SMS alerts, and WhatsApp notifications — are charged on a metered basis against your Cloud Wallet. Your plan includes a monthly wallet credit that resets at the start of each billing cycle. Additional credits may be purchased as top-ups. Unused wallet credits do not carry over to the next billing cycle unless otherwise specified in your plan description. Wallet credits are non-refundable once consumed.

4.4 Auto-Renewal

Paid subscriptions renew automatically at the end of each billing cycle unless cancelled. You may cancel at any time from your account settings. Cancellation takes effect at the end of the current billing period; you retain access to paid features until that date.

4.5 Price Changes

We may change subscription prices by providing at least 30 days' notice via email to your registered address. Continued use of the Service after the notice period constitutes acceptance of the new pricing. If you do not agree to the price change, you may cancel your subscription before it takes effect.

4.6 Refund Policy

Subscription fees are generally non-refundable. We may, at our sole discretion, offer a pro-rated refund in cases of technical failure attributable solely to CloudAIPilot that resulted in complete inability to use the Service for a significant period. Top-up wallet credits are non-refundable. Free trial promotions are subject to separate terms communicated at the time of the offer.

4.7 Suspension for Non-Payment

If payment fails, we will notify you and provide a grace period of 7 days. If payment is not resolved within the grace period, your account may be suspended. Suspended accounts retain read-only access to data for 30 days, after which the account may be deleted in accordance with Section 15.

5. Acceptable Use Policy

5.1 Permitted Use

You may use CloudAIPilot solely for lawful purposes and in accordance with these Terms. Permitted use includes managing your own infrastructure, deploying your applications, monitoring your servers, and using AI Pilot to automate legitimate infrastructure tasks.

5.2 Prohibited Activities

You must not use the Service to:

  • Violate any applicable law, regulation, or third-party rights, including intellectual property rights and data protection laws.
  • Conduct, facilitate, or participate in any unlawful activity, including unauthorized access to third-party systems, networks, or data.
  • Deploy or host malware, ransomware, botnets, phishing infrastructure, spam services, or any other malicious software or content.
  • Launch or coordinate distributed denial-of-service (DDoS) attacks, port scans directed at unauthorized targets, or any other form of cyber attack.
  • Mine cryptocurrency or engage in computationally intensive activities that violate the resource limits of your plan without express written authorization.
  • Attempt to reverse-engineer, decompile, disassemble, or derive source code from the Service or its underlying systems.
  • Use the Service to store, transmit, or process child sexual abuse material (CSAM) or any content that exploits minors.
  • Circumvent, disable, or interfere with security features, authentication systems, or access controls of the Service.
  • Resell, sublicense, or provide the Service to third parties as a standalone product without entering into a separate agency or reseller agreement with us.
  • Use automated scripts, bots, or crawlers to interact with the Service in a manner that places disproportionate load on our infrastructure.
  • Impersonate any person or entity or misrepresent your affiliation with any person or entity.

5.3 AI Pilot Usage

When using AI Pilot, you must not instruct the AI to perform actions that you do not have authorization to perform on the target infrastructure. You are solely responsible for reviewing AI-suggested actions before authorizing their execution, and for the consequences of any actions you authorize.

6. Third-Party Integrations and Services

6.1 Third-Party Services

CloudAIPilot integrates with a number of third-party services to provide its full feature set, including cloud providers (AWS, DigitalOcean, Hetzner, Vultr, and others), git providers (GitHub, GitLab, Bitbucket), AI model providers (Anthropic, OpenAI, Google), notification services (Slack, Microsoft Teams, Telegram, PagerDuty, and others), and payment processors. Your use of these third-party services is subject to their respective terms of service and privacy policies, which you are independently responsible for reviewing and complying with.

6.2 Third-Party Credentials

By connecting a third-party account or entering API keys into CloudAIPilot, you authorize us to access and use those credentials solely to provide the features you enable. You represent that you have the right to grant such access and that doing so does not violate the third-party's terms of service.

6.3 No Endorsement

Our integration with third-party services does not constitute an endorsement of those services. We are not responsible for the availability, accuracy, security, or practices of third-party services. Any issues arising from third-party service failures (including cloud provider outages, git provider downtime, or AI model service interruptions) are not CloudAIPilot's liability.

6.4 Bring Your Own AI Key (BYOAK)

If you elect to use the BYOAK feature and provide your own AI provider API keys, you are solely responsible for: (a) compliance with the AI provider's terms of service; (b) usage costs charged by the AI provider directly to your account; and (c) any consequences arising from exceeding your AI provider's rate limits or quotas.

7. Infrastructure and Server Management

7.1 Your Infrastructure

CloudAIPilot operates as a management layer over infrastructure that you own or have licensed from cloud providers. All servers, databases, storage resources, and applications managed through CloudAIPilot remain your property and responsibility. CloudAIPilot does not own and is not responsible for the underlying infrastructure.

7.2 Authorization for Actions

By connecting a server or cloud account to CloudAIPilot, you grant CloudAIPilot the technical authorization to execute infrastructure operations on that server or account on your instruction. You are solely responsible for ensuring that any actions executed through CloudAIPilot — whether initiated manually or through AI Pilot — are within your legal rights and technical authority to perform.

7.3 Irreversible Operations

Some infrastructure operations available through CloudAIPilot — including server deletion, database drops, and deployment rollbacks — are irreversible or difficult to reverse. We strongly recommend maintaining independent backups before executing destructive operations. CloudAIPilot provides backup tools, but their use is your responsibility. We are not liable for data loss resulting from operations you authorize.

7.4 AI-Executed Actions

When AI Pilot executes infrastructure actions, those actions are performed under your authorization. AI Pilot may act on natural language instructions, and it is your responsibility to review and confirm actions before they are executed. You acknowledge that AI-generated outputs may contain errors, and that you — not CloudAIPilot — are responsible for verifying AI recommendations before execution.

7.5 Backups

CloudAIPilot's backup feature assists you in scheduling and storing backups. You are responsible for verifying that backups complete successfully, that backup data is accessible, and that your backup retention and storage configuration meets your requirements. CloudAIPilot provides tools, not guarantees, for backup integrity.

8. AI Services

8.1 Nature of AI Outputs

AI Pilot is powered by large language models provided by third-party AI companies. AI outputs — including infrastructure recommendations, generated configurations, diagnostic analyses, and automated actions — are generated probabilistically and may be incomplete, inaccurate, or inappropriate for your specific situation. You must not rely on AI outputs as professional infrastructure, security, legal, or financial advice without independent verification.

8.2 Token and Credit Usage

AI Pilot usage consumes tokens, which are deducted from your monthly cloud wallet credit. Token consumption varies by the complexity of the task, the length of the conversation, and the AI model selected. We display estimated costs where feasible, but actual consumption may differ. You are responsible for monitoring your wallet balance to avoid service interruption.

8.3 Model Availability

Access to specific AI models depends on your subscription plan. We reserve the right to add, remove, or change model availability with reasonable notice. We are not responsible for changes to AI model capabilities, outputs, or policies made by the underlying AI providers.

8.4 No Warranty on AI Outputs

To the maximum extent permitted by law, we make no warranty that AI Pilot outputs are accurate, complete, fit for purpose, or free from error. AI outputs are provided "as is" as a productivity tool. You assume all risk associated with relying on AI-generated content.

9. Intellectual Property

9.1 CloudAIPilot Intellectual Property

The Service, including all software, user interface designs, branding, documentation, and content created by Vibhaga Group, is the proprietary intellectual property of Vibhaga Group and is protected by applicable intellectual property laws. These Terms grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for its intended purpose during the term of your subscription.

9.2 Your Data and Content

You retain all ownership rights to: your infrastructure, application code, databases, files, and any other content you manage through CloudAIPilot ("Your Content"). By using the Service, you grant Vibhaga Group a limited, non-exclusive license to access and process Your Content solely to the extent necessary to provide the Service. We do not claim any ownership over Your Content and will not use it for any purpose beyond service delivery and the obligations set out in our Privacy Policy.

9.3 Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant us a perpetual, irrevocable, royalty-free license to use that feedback for any purpose, including improving the Service, without any obligation of compensation or attribution to you.

10. Confidentiality and Security

Each party agrees to maintain the confidentiality of the other's confidential information and to use it only for the purposes contemplated by these Terms. CloudAIPilot's obligations include protecting your server credentials, API keys, and organization data using the security measures described in our Privacy Policy.

You agree not to share your account credentials with unauthorized persons, to use strong passwords and enable two-factor authentication where offered, and to promptly report any suspected security breach to support@cloudaipilot.com.

11. Service Availability

11.1 Uptime

We endeavor to maintain high availability of the Service, but we do not guarantee uninterrupted access. The Service may be temporarily unavailable due to scheduled maintenance, emergency maintenance, third-party infrastructure issues (including cloud provider outages), or events beyond our reasonable control.

11.2 No SLA for Free Plans

Service Level Agreements (SLAs) are not offered on Free plan accounts. Paid plans include best-effort availability commitments as described in your plan documentation. We will provide advance notice of planned maintenance where reasonably practicable.

11.3 Force Majeure

We are not liable for any failure or delay in performance caused by circumstances beyond our reasonable control, including natural disasters, war, civil disturbance, strikes, government actions, internet infrastructure failures, or acts of third-party cloud providers.

12. Disclaimers

To the maximum extent permitted by applicable law, the Service is provided "as is" and "as available" without any warranty of any kind, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, or reliability.

We do not warrant that: (a) the Service will meet your specific requirements; (b) the Service will be uninterrupted, timely, secure, or error-free; (c) results obtained from using the Service will be accurate or reliable; or (d) any errors in the Service will be corrected.

Nothing in these Terms shall exclude or limit warranties or liabilities that cannot be excluded by applicable Indian law, including rights under the Consumer Protection Act, 2019 where applicable.

13. Limitation of Liability

Important: This section limits our financial liability to you. Please read it carefully.

13.1 Exclusion of Consequential Loss

To the maximum extent permitted by applicable law, Vibhaga Group shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to: loss of profits, loss of revenue, loss of data, loss of goodwill, business interruption, infrastructure downtime, cost of substitute services, or any other intangible losses — even if we have been advised of the possibility of such damages and regardless of whether they arise in contract, tort, negligence, or otherwise.

13.2 Cap on Direct Liability

Our total aggregate liability to you for any and all claims arising out of or relating to the Service or these Terms shall not exceed the greater of: (a) the total fees paid by you to CloudAIPilot in the three (3) calendar months immediately preceding the event giving rise to the claim; or (b) INR 5,000 (Indian Rupees Five Thousand).

13.3 Exceptions

Nothing in this Section 13 limits our liability for: (a) death or personal injury caused by our negligence; (b) fraud or fraudulent misrepresentation; (c) any liability that cannot be excluded or limited under applicable Indian law.

13.4 Infrastructure Decisions

CloudAIPilot is a management and automation tool. You are solely responsible for decisions made about your infrastructure, including those informed by AI Pilot recommendations. We are not liable for infrastructure failures, data loss, security incidents, or financial costs arising from actions you authorize through the platform.

14. Indemnification

You agree to indemnify, defend, and hold harmless Vibhaga Group and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to:

  • Your use of the Service in violation of these Terms or applicable law.
  • Your Content or any infrastructure you manage through the Service.
  • Your violation of any third-party right, including intellectual property rights, privacy rights, or contractual rights.
  • Any misuse of AI Pilot or execution of infrastructure actions without proper authorization.
  • Any claim that content you deploy through CloudAIPilot infringes a third party's rights.

We reserve the right, at your expense, to assume exclusive defense and control of any matter subject to indemnification by you. You agree to cooperate with our defense of such claims.

15. Suspension and Termination

15.1 Termination by You

You may cancel your subscription and close your account at any time from your account settings. Cancellation of a paid subscription takes effect at the end of the current billing period. You remain responsible for all charges accrued up to the cancellation date.

15.2 Suspension or Termination by Us

We may suspend or terminate your access to the Service, with or without prior notice, if:

  • You breach any provision of these Terms, including the Acceptable Use Policy.
  • Your use poses a security risk to the Service, other users, or third parties.
  • You fail to pay fees when due after the grace period in Section 4.7.
  • We are required to do so by law or a competent authority.
  • We reasonably suspect fraudulent, abusive, or illegal activity on your account.

15.3 Effect of Termination

Upon termination or expiration of your account, all licenses granted under these Terms cease immediately. Within 30 days of account closure (or such shorter period as required by law), we will delete your account data from our systems, excluding data we are legally required to retain.

Prior to closure, you are encouraged to export your data using the tools available in the platform. We strongly recommend exporting all data before initiating account closure, as data recovery after permanent deletion is not possible.

Termination does not affect: your obligation to pay amounts owing, our right to recover damages, or provisions of these Terms that by their nature should survive termination (including Sections 9, 13, 14, 17, and 18).

16. Changes to the Service and Terms

16.1 Changes to the Service

We may modify, update, or discontinue features of the Service at any time. For material changes that reduce functionality you rely on, we will provide at least 30 days' notice where reasonably practicable. The discontinuation of a feature does not automatically entitle you to a refund unless the feature was a core element of your paid plan and no comparable replacement is offered.

16.2 Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify you by email and by posting the updated Terms on this page with a revised "Last updated" date. For material changes, we will provide at least 14 days' notice before they take effect. Your continued use of the Service after the effective date of updated Terms constitutes your acceptance. If you do not agree to updated Terms, you must stop using the Service and cancel your account before they take effect.

17. Governing Law and Dispute Resolution

17.1 Governing Law

These Terms are governed by and construed in accordance with the laws of India, including the Indian Contract Act, 1872, the Information Technology Act, 2000, the Consumer Protection Act, 2019, and the Digital Personal Data Protection Act, 2023. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

17.2 Informal Resolution

Before initiating any formal dispute proceeding, both parties agree to attempt in good faith to resolve any dispute arising out of or relating to these Terms informally. You may contact us at legal@cloudaipilot.com describing the nature of your dispute. We will respond within 15 business days. If the dispute is not resolved within 45 days of your notification, either party may proceed to formal resolution.

17.3 Arbitration

Any dispute, controversy, or claim arising out of or relating to these Terms, the Service, or any breach, termination, or validity thereof, that cannot be resolved informally under Section 17.2, shall be referred to and finally resolved by arbitration in accordance with the Arbitration and Conciliation Act, 1996 (as amended). The arbitration shall be conducted by a sole arbitrator mutually agreed upon by the parties, or in the absence of agreement, appointed in accordance with the Act. The seat of arbitration shall be Hyderabad, Telangana, India. The language of arbitration shall be English. The arbitral award shall be final and binding.

17.4 Jurisdiction for Urgent Relief

Notwithstanding the above, either party may seek urgent interim or injunctive relief from the courts at Hyderabad, Telangana, India, which shall have exclusive jurisdiction for such matters. You hereby consent to the personal jurisdiction of such courts.

17.5 Consumer Rights

Nothing in these Terms limits any rights you may have as a consumer under the Consumer Protection Act, 2019, including the right to approach consumer dispute redressal commissions.

18. Miscellaneous

18.1 Entire Agreement

These Terms, together with the Privacy Policy and any plan-specific terms communicated to you at the time of subscription, constitute the entire agreement between you and Vibhaga Group with respect to the Service and supersede all prior agreements, representations, and understandings.

18.2 Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

18.3 No Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver must be in writing and signed by an authorized representative of Vibhaga Group.

18.4 Assignment

You may not assign or transfer any rights or obligations under these Terms without our prior written consent. We may assign these Terms or any rights hereunder to a successor entity in connection with a merger, acquisition, or sale of substantially all of our assets, provided that the successor agrees to be bound by these Terms.

18.5 Notices

Notices from us to you will be delivered to the email address associated with your account. Notices from you to us must be sent to legal@cloudaipilot.com. Notices are deemed received on the day of sending for email communications.

18.6 Language

These Terms are drafted in the English language. In the event of any conflict between an English version and a translated version, the English version shall prevail.

18.7 Relationship of Parties

Nothing in these Terms shall be construed to create a partnership, joint venture, agency, employment, or fiduciary relationship between the parties. You act as an independent party and are solely responsible for your use of the Service.
